1. Agreement to These Terms

These Terms of Use ("Terms") govern your access to and use of the websites, online properties, content, directories, communications, tools, and services operated by My Senior Service LLC, doing business as Approved Senior Network® ("Approved Senior Network," "ASN," "we," "us," or "our").

These Terms apply to:

  • ApprovedSeniorNetwork.com
  • ASNHomeCareMarketing.com
  • CareAcrossAmerica.info
  • HomeCareMarketingNews.com
  • Related landing pages, subdomains, directories, microsites, client profile pages, service pages, location pages, blogs, podcasts, videos, newsletters, guides, webinars, forms, and other online properties operated by ASN
  • Online tools, automated features, artificial intelligence-assisted features, chat functions, forms, and communications made available through those properties
  • Other services that link to or expressly incorporate these Terms

Collectively, these websites, properties, content, and services are referred to as the "Sites" and "Services."

By accessing or using the Sites or Services, submitting a form, creating an account, downloading content, registering for an event, purchasing a service, or otherwise indicating your acceptance, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not access or use the Sites or Services.

2. Important Dispute-Resolution Notice

PLEASE READ THE DISPUTE-RESOLUTION SECTIONS CAREFULLY.

Subject to applicable law and the exceptions stated below, these Terms may require you and ASN to resolve disputes through individual binding arbitration rather than through a lawsuit in court.

These Terms also contain a waiver of the right to participate in a class action, representative action, or class-wide arbitration.

You should review Sections 35 through 38 carefully before using the Sites or Services.

3. Additional Agreements

Certain ASN products or services may be subject to additional agreements, proposals, order forms, service agreements, platform terms, participation agreements, releases, campaign authorizations, or other written terms ("Additional Terms").

Examples may include:

  • ASN client service agreements
  • Approved Senior Network marketing agreements
  • GoCareLocal™ agreements
  • GoCarePro® agreements
  • ASNSpark! terms
  • Advertising authorizations
  • Website-development agreements
  • Podcast or media releases
  • Event-registration terms
  • Sponsorship agreements
  • Data-processing agreements
  • Vendor or contractor agreements
  • Subscription or payment terms

If Additional Terms conflict with these Terms, the Additional Terms will control with respect to the product, service, account, or transaction covered by them.

These Terms do not replace, modify, or cancel a separately executed agreement unless that agreement expressly states otherwise.

4. Eligibility

You must be at least 18 years old and legally capable of entering a binding agreement to use the Sites or Services.

By using the Sites or Services, you represent and warrant that:

  • You are at least 18 years old;
  • You have the legal authority to accept these Terms;
  • You are not prohibited by law from using the Sites or Services; and
  • When acting for a company or organization, you have authority to bind that company or organization.

The Sites and Services are primarily intended for users in the United States.

5. About Approved Senior Network

My Senior Service LLC, DBA Approved Senior Network, is a marketing, media, publishing, education, consulting, sales-training, lead-generation, website, advertising, and technology services company serving home care agencies and other senior care businesses.

ASN may provide:

  • Marketing and advertising services
  • Website design, development, hosting, and maintenance
  • Search engine optimization
  • Local search and AI-search optimization
  • Content development
  • Social media content
  • Email marketing
  • Customer relationship management tools
  • Call tracking
  • Lead-generation campaigns
  • Sales training
  • Business consulting
  • Webinars and educational programs
  • Newsletters and publications
  • Podcasts and video interviews
  • Senior care directories
  • Downloadable guides and resources
  • Consumer information about home care and senior care
  • Connections between consumers and selected senior care agencies

Some Services are intended for consumers and families. Other Services are intended for ASN clients, prospective clients, senior care professionals, referral partners, employees, contractors, or vendors.

6. ASN Is Not a Home Care Provider

ASN is not a home care agency, home health agency, hospice, assisted living community, medical practice, nursing facility, residential care provider, caregiver registry, staffing agency, emergency service, or governmental benefits agency.

ASN does not directly:

  • Employ caregivers on behalf of consumers;
  • Provide hands-on caregiving;
  • Provide medical treatment;
  • Diagnose medical conditions;
  • Create care plans;
  • Conduct clinical assessments;
  • Determine the appropriate level of care;
  • Make admission or employment decisions for listed agencies;
  • Determine eligibility for Medicare, Medicaid, Veterans Affairs benefits, long-term care insurance, or other programs;
  • Negotiate or enter into care-service agreements for consumers; or
  • Guarantee the availability, quality, safety, pricing, licensing, or suitability of any care provider.

A consumer's agreement for care is solely between the consumer and the senior care agency or other provider selected by the consumer.

7. Information and Connection Services

Some Sites may allow consumers to learn about home care, senior care, or related services and contact a specific agency.

When you select a particular agency and submit a request, ASN may transmit the information you provide to that selected agency so the agency can respond.

ASN does not distribute a request to multiple unrelated agencies when the consumer has selected one specific agency.

ASN's role is limited to providing information, marketing support, communications technology, and a method of connecting the consumer with the selected agency.

Submission of a form does not:

  • Create a caregiver-client relationship;
  • Create a healthcare provider-patient relationship;
  • Guarantee that services will be available;
  • Guarantee that an agency will accept a prospective client;
  • Reserve services or caregiver availability;
  • Establish pricing;
  • Constitute an admission decision;
  • Create an agency relationship between ASN and the consumer; or
  • Make ASN a party to an agreement between the consumer and the selected provider.

8. Independent Senior Care Providers

Home care agencies and other senior care organizations featured, listed, interviewed, advertised, or described through the Sites are independent businesses.

Unless expressly stated otherwise, they are not owned, controlled, operated, or employed by ASN.

Each organization is solely responsible for:

  • Its licenses and registrations;
  • Its employees and contractors;
  • Background checks;
  • Training and supervision;
  • Insurance coverage;
  • Service descriptions;
  • Care assessments;
  • Pricing and billing;
  • Availability and scheduling;
  • Client acceptance;
  • Contracts and service agreements;
  • Compliance with applicable laws;
  • Quality and safety of services;
  • Statements made to consumers; and
  • Information submitted to ASN for publication.

ASN does not control the day-to-day operations of an independent provider.

9. No Guarantee or Endorsement

The appearance of a senior care agency, provider, business, person, product, service, interview, article, advertisement, profile, directory listing, or link on a Site does not necessarily constitute an endorsement or guarantee by ASN.

ASN may have a commercial relationship with businesses featured on the Sites. For example, an agency may be:

  • An ASN marketing client;
  • A directory participant;
  • An advertiser;
  • A sponsor;
  • A podcast guest;
  • A contributor;
  • A referral partner; or
  • A purchaser of other ASN services.

Where legally required, ASN will make reasonable efforts to disclose material relationships connected with endorsements, testimonials, paid placements, sponsorships, or advertising.

You should independently investigate and evaluate any organization before purchasing or accepting services.

Factors you may wish to investigate include:

  • Licensing or registration;
  • Insurance;
  • References;
  • Employee screening;
  • Caregiver training;
  • Service agreements;
  • Pricing;
  • Cancellation policies;
  • Availability;
  • Complaint history;
  • Online reviews; and
  • Whether the organization is appropriate for the consumer's needs.

10. Provider Information and Directory Listings

Information about a senior care agency or other organization may be supplied by:

  • The organization itself;
  • ASN clients;
  • Public sources;
  • Government databases;
  • Business directories;
  • Third-party platforms;
  • Interviews;
  • Websites;
  • Social media profiles; or
  • Other available sources.

ASN may edit, organize, summarize, format, or publish that information.

Although ASN attempts to provide useful and accurate information, we do not guarantee that provider information is complete, current, error-free, or appropriate for every person.

Services, office locations, telephone numbers, personnel, licensing status, service areas, prices, availability, and other details may change without notice.

The featured organization is responsible for confirming the accuracy of information it supplies to ASN.

11. No Professional Advice

Content available through the Sites or Services is for general informational and educational purposes only.

Nothing on the Sites or Services constitutes:

  • Medical advice;
  • Nursing advice;
  • Legal advice;
  • Financial advice;
  • Tax advice;
  • Insurance advice;
  • Benefits advice;
  • Clinical assessment;
  • Discharge-planning advice;
  • A professional diagnosis;
  • A recommendation for a specific level of care; or
  • A substitute for advice from a properly licensed professional.

Although ASN's owners, employees, guests, contributors, or authors may have professional credentials, information presented through a general website, article, podcast, video, guide, email, webinar, or social post does not create a professional-client or provider-patient relationship.

You should consult qualified professionals regarding your individual circumstances.

12. Emergency Situations

The Sites and Services are not designed for emergencies.

Do not use a form, email, chat, text message, social media message, or voicemail on an ASN Site to request emergency help.

If you believe someone is experiencing a medical emergency, immediate danger, abuse, neglect, exploitation, or another urgent safety issue, call 911 or the appropriate local emergency service.

Do not delay obtaining professional assistance because of information found on an ASN Site.

13. Government Benefits and Insurance Information

The Sites may include general information about:

  • Medicare;
  • Medicaid;
  • Veterans Affairs programs;
  • VA Aid and Attendance;
  • Community Care Network participation;
  • Long-term care insurance;
  • Private-pay home care;
  • State-funded programs;
  • Tax considerations; or
  • Other payment sources.

Eligibility rules, coverage requirements, payment amounts, and application procedures may change and may vary based on individual circumstances.

ASN does not determine eligibility, approve benefits, represent government agencies, process benefit applications, or guarantee that a service will be covered or reimbursed.

Contact the applicable government agency, insurer, attorney, financial advisor, benefits specialist, or qualified care provider for individualized guidance.

14. Results Are Not Guaranteed

ASN may publish educational information, case studies, testimonials, success stories, marketing results, rankings, lead data, traffic data, advertising performance, sales outcomes, or examples of client experiences.

These examples do not guarantee that another consumer, agency, or client will achieve the same result.

Marketing and business outcomes may be affected by factors outside ASN's control, including:

  • Market conditions;
  • Competition;
  • Advertising budgets;
  • Geographic area;
  • Staffing;
  • Client responsiveness;
  • Sales performance;
  • Provider reputation;
  • Website history;
  • Search-engine changes;
  • Platform policies;
  • Consumer demand;
  • Pricing;
  • Licensing;
  • Service quality; and
  • Implementation of recommendations.

ASN does not guarantee:

  • A particular number of leads;
  • A particular number of clients;
  • Search-engine rankings;
  • Placement in an AI-generated answer;
  • Google Business Profile visibility;
  • Advertising approval;
  • Advertising profitability;
  • Revenue growth;
  • Referral volume;
  • Website traffic;
  • Conversion rates; or
  • Any specific financial result.

Any specific performance commitments must appear in a separate written agreement signed or accepted by ASN.

15. Artificial Intelligence-Assisted Content and Features

ASN may use artificial intelligence and automated technology to assist with:

  • Drafting content;
  • Organizing information;
  • Summarizing materials;
  • Generating ideas;
  • Creating images;
  • Analyzing marketing data;
  • Developing website content;
  • Supporting search optimization;
  • Answering general questions;
  • Preparing educational materials; or
  • Operating other features.

AI-assisted content may contain inaccuracies, omissions, outdated information, or unintended results.

AI-generated or AI-assisted output should not be relied upon as medical, legal, financial, clinical, benefits, or other professional advice.

ASN may review, edit, fact-check, or approve AI-assisted material, but does not guarantee that all AI-assisted content will be complete or error-free.

You may not use ASN content, Sites, or Services to train, develop, benchmark, improve, or operate an artificial intelligence model without ASN's prior written permission.

16. Privacy Policy

ASN's Privacy Policy explains how we collect, use, disclose, and protect personal information.

Your access to and use of the Sites and Services is subject to the Privacy Policy.

When a consumer submits information for a selected agency, the selected agency's privacy practices may also apply after the information is transmitted to that agency.

17. Consent to Communications

When you provide an email address, telephone number, or other contact information, you authorize ASN to contact you regarding:

  • Your inquiry;
  • Requested information;
  • Your account;
  • A download or registration;
  • A selected agency;
  • ASN products or services;
  • Client services;
  • Scheduled appointments;
  • Training;
  • Events;
  • Billing;
  • Customer support; or
  • Other interactions with ASN.

When you submit an inquiry for a selected senior care agency, you authorize ASN to transmit your information to that selected agency and authorize the agency to respond to your request.

Communications may occur by:

  • Telephone;
  • Mobile telephone;
  • Email;
  • Text or SMS;
  • Voicemail;
  • Chat;
  • Video meeting;
  • Mail; or
  • Other reasonable communication methods.

The scope of your consent may also be described in the disclosure displayed near the applicable form.

18. Text Messages and Automated Communications

Where permitted by law and consistent with the disclosure presented when you provide your number, ASN or the selected agency may use automated technology to call or text the telephone number you provide.

By providing a telephone number, you represent that:

  • You are the subscriber or customary user of that number;
  • You have authority to provide the number;
  • The number is accurate; and
  • You will notify ASN if you no longer control the number.

Message and data rates may apply. Message frequency may vary.

You may opt out of marketing text messages by replying STOP. You may request assistance by replying HELP.

Consent to promotional automated calls or texts is not a condition of purchasing ASN services unless expressly disclosed otherwise.

Administrative, transactional, security, and requested communications may be treated differently from marketing communications where permitted by law.

19. Recorded Communications

Telephone calls, video meetings, webinars, interviews, podcasts, training sessions, and other communications may be recorded, monitored, transcribed, or summarized for:

  • Quality assurance;
  • Training;
  • Documentation;
  • Content production;
  • Customer support;
  • Security;
  • Compliance; or
  • Dispute resolution.

Where required by law, ASN will provide notice or request consent before recording.

By remaining on a communication after receiving a recording notice, you consent to the recording to the extent permitted by applicable law.

Separate podcast, interview, media, or testimonial releases may provide ASN with additional rights to use a participant's voice, image, name, likeness, biography, statements, or recording.

20. Limited License to Use the Sites

Subject to these Terms, ASN grants you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable license to access and use the Sites and publicly available Site content for lawful personal or internal business informational purposes.

This license does not authorize you to:

  • Republish ASN content;
  • Sell or sublicense ASN content;
  • Create a competing content library;
  • Scrape or systematically download content;
  • Use content to train an AI system;
  • Remove copyright or trademark notices;
  • Misrepresent ASN content as your own;
  • Create unauthorized derivative products;
  • Reproduce paid training or proprietary materials;
  • Share account credentials; or
  • Use ASN intellectual property outside the permitted purpose.

ASN may revoke this license at any time.

21. Prohibited Uses

You may not use or attempt to use the Sites or Services to:

  • Violate a law or regulation;
  • Promote unlawful conduct;
  • Commit fraud;
  • Impersonate another person or organization;
  • Misrepresent your affiliation;
  • Submit false, misleading, or unauthorized information;
  • Harass, threaten, abuse, defame, or harm another person;
  • Infringe intellectual property, privacy, publicity, or contractual rights;
  • Introduce viruses, malware, malicious code, or harmful technology;
  • Interfere with the operation or security of a Site;
  • Attempt to gain unauthorized access to systems, accounts, data, or networks;
  • Circumvent authentication or access controls;
  • Probe or test system vulnerabilities without written authorization;
  • Overload or disrupt servers or networks;
  • Harvest personal information;
  • Send spam or unauthorized commercial messages;
  • Use robots, spiders, scrapers, crawlers, or automated extraction tools without written permission;
  • Copy, mirror, frame, reproduce, or republish substantial portions of a Site;
  • Reverse engineer or decompile software;
  • Remove proprietary notices;
  • Use ASN material to train or improve AI models;
  • Falsely suggest that ASN endorses you;
  • Create confusingly similar websites, accounts, brands, or domains;
  • Use ASN trademarks in unauthorized advertising;
  • Upload confidential information you do not have authority to provide;
  • Post content that is obscene, harmful, discriminatory, or unlawful; or
  • Encourage another person to do any prohibited act.

ASN may investigate suspected violations and cooperate with law enforcement or regulatory authorities where appropriate.

22. Accounts and Passwords

Some Services may require an account, username, password, verification code, or other credentials.

You are responsible for:

  • Providing accurate account information;
  • Maintaining the confidentiality of your credentials;
  • Restricting access to your account;
  • Using appropriate security measures;
  • All authorized activity conducted through your account; and
  • Promptly notifying ASN of suspected unauthorized access.

You may not share an account with unauthorized persons or allow another business to use services licensed solely to you.

ASN may require a password reset, suspend access, or take other protective measures when we reasonably believe an account has been compromised.

23. Intellectual Property

The Sites and Services, including their design, organization, selection, arrangement, software, text, graphics, photographs, videos, audio, logos, icons, downloads, guides, training materials, templates, processes, databases, and other content, are owned by ASN, licensed to ASN, used with permission, or protected by applicable intellectual property law.

Protected names and marks may include:

  • Approved Senior Network®
  • Care Across America®
  • GoCarePro®
  • GoCareLocal™
  • ASNSpark!
  • ASN logos, slogans, graphics, program names, and related branding

Third-party names, trademarks, and logos belong to their respective owners.

No right to use an ASN trademark, service mark, trade name, logo, copyrighted work, or proprietary material is granted except as expressly stated in writing.

All rights not expressly granted are reserved.

24. Client and Third-Party Materials

ASN clients, guests, contributors, advertisers, sponsors, and other third parties may provide:

  • Logos;
  • Photographs;
  • Videos;
  • Audio;
  • Testimonials;
  • Reviews;
  • Articles;
  • Business descriptions;
  • Employee information;
  • Service descriptions;
  • Licensing information;
  • Addresses;
  • Telephone numbers;
  • Pricing information;
  • Marketing claims; or
  • Other materials.

The person or organization providing those materials represents and warrants that:

  • The materials are accurate to the best of its knowledge;
  • It has authority to provide them;
  • ASN may use them for the intended purpose;
  • The materials do not infringe another person's rights;
  • Required permissions and releases have been obtained; and
  • Any advertising claims are truthful and adequately supported.

ASN may remove, reject, edit, or decline to publish third-party materials.

ASN is not responsible for unauthorized, inaccurate, or infringing materials supplied by a third party.

25. User Submissions and Feedback

You may submit comments, suggestions, feedback, questions, ideas, reviews, testimonials, photographs, recordings, messages, or other materials ("Submissions").

Unless a separate agreement provides otherwise, Submissions are not confidential.

You grant ASN a nonexclusive, worldwide, royalty-free, fully paid, transferable, sublicensable, perpetual, and irrevocable license to:

  • Use;
  • Copy;
  • Reproduce;
  • Modify;
  • Adapt;
  • Publish;
  • Translate;
  • Distribute;
  • Display;
  • Perform;
  • Create derivative works from; and
  • Otherwise use the Submission in connection with ASN's business and Services.

This license does not automatically authorize ASN to publicly disclose sensitive personal information that is protected under the Privacy Policy.

You represent and warrant that:

  • You own or control the necessary rights;
  • Your Submission is truthful;
  • Your Submission does not violate a law;
  • Your Submission does not infringe another person's rights; and
  • ASN's permitted use will not violate an obligation owed to another person.

Specific podcast, video, interview, testimonial, or media content may be governed by a separate release.

26. Reviews, Testimonials, and Endorsements

Reviews and testimonials must reflect the honest opinions and experiences of the person providing them.

You may not submit or arrange for:

  • Fake reviews;
  • Reviews from nonexistent customers;
  • Reviews written without actual experience;
  • Reviews that conceal a material relationship;
  • Reviews conditioned on expressing a particular sentiment;
  • False testimonials;
  • Misleading endorsements; or
  • Content intended to distort the public's understanding of a business.

ASN may edit testimonials for spelling, grammar, length, or clarity, but will not knowingly alter their substantive meaning.

Results described in a testimonial are not guaranteed.

A financial, employment, family, client, sponsorship, or other material relationship should be disclosed when the relationship could affect how readers evaluate an endorsement.

27. Third-Party Links and Embedded Services

The Sites may include links to or embedded content from:

  • Senior care agency websites;
  • Social media platforms;
  • YouTube;
  • Podcast platforms;
  • Government agencies;
  • Scheduling tools;
  • Payment services;
  • Advertising platforms;
  • Map services;
  • Review platforms;
  • News websites; or
  • Other third parties.

Third-party websites and services are controlled by their respective operators.

ASN does not guarantee and is not responsible for:

  • Third-party content;
  • Availability;
  • Security;
  • Accessibility;
  • Privacy practices;
  • Products;
  • Services;
  • Pricing;
  • Claims;
  • Transactions; or
  • Conduct.

Your dealings with a third party are solely between you and that third party.

A link or embedded feature does not necessarily constitute ASN's endorsement.

28. Copyright Complaints

ASN respects intellectual property rights.

A copyright owner or authorized agent who believes material on an ASN Site infringes a copyright may submit a notice containing:

  • Identification of the copyrighted work;
  • Identification and location of the allegedly infringing material;
  • The complainant's name and contact information;
  • A statement of good-faith belief that the use is unauthorized;
  • A statement, under penalty of perjury, that the information is accurate and the complainant is authorized to act; and
  • A physical or electronic signature.

ASN may remove or restrict access to material that it reasonably believes may infringe intellectual property rights.

29. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITES, SERVICES, CONTENT, DIRECTORIES, DOWNLOADS, INFORMATION, FEATURES, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

ASN AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, VENDORS, AND REPRESENTATIVES DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • TITLE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • COMPLETENESS;
  • RELIABILITY;
  • AVAILABILITY;
  • SECURITY;
  • QUIET ENJOYMENT; AND
  • FREEDOM FROM VIRUSES OR HARMFUL CODE.

ASN DOES NOT WARRANT THAT:

  • THE SITES WILL OPERATE WITHOUT INTERRUPTION;
  • ERRORS WILL BE CORRECTED;
  • CONTENT WILL ALWAYS BE CURRENT;
  • A PROVIDER WILL RESPOND TO AN INQUIRY;
  • A PROVIDER WILL ACCEPT A CLIENT;
  • SERVICES WILL BE AVAILABLE;
  • A PROVIDER IS APPROPRIATE FOR A PARTICULAR PERSON;
  • A MARKETING CAMPAIGN WILL PRODUCE A PARTICULAR RESULT;
  • A WEBSITE WILL ACHIEVE A PARTICULAR RANKING;
  • CONTENT WILL APPEAR IN AN AI-GENERATED ANSWER;
  • A THIRD-PARTY PLATFORM WILL CONTINUE TO OPERATE; OR
  • DATA TRANSMISSIONS WILL BE COMPLETELY SECURE.

Some jurisdictions do not allow certain warranty disclaimers. In those jurisdictions, the disclaimers apply only to the extent permitted by law.

30. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ASN AND ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, VENDORS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY:

  • INDIRECT DAMAGES;
  • INCIDENTAL DAMAGES;
  • SPECIAL DAMAGES;
  • CONSEQUENTIAL DAMAGES;
  • EXEMPLARY DAMAGES;
  • PUNITIVE DAMAGES;
  • LOSS OF PROFITS;
  • LOSS OF REVENUE;
  • LOSS OF BUSINESS;
  • LOSS OF GOODWILL;
  • LOSS OF DATA;
  • LOSS OF OPPORTUNITY;
  • COST OF SUBSTITUTE SERVICES;
  • PERSONAL INJURY ARISING FROM A THIRD-PARTY PROVIDER;
  • CAREGIVING OR MEDICAL OUTCOME;
  • ADVERTISING LOSS;
  • SEARCH-RANKING LOSS; OR
  • BUSINESS INTERRUPTION

ARISING OUT OF OR RELATING TO:

  • THE SITES OR SERVICES;
  • INABILITY TO USE THE SITES OR SERVICES;
  • RELIANCE ON CONTENT;
  • A SELECTED SENIOR CARE AGENCY;
  • A THIRD-PARTY PRODUCT OR SERVICE;
  • A FORM SUBMISSION;
  • AN UNAUTHORIZED ACCESS OR SECURITY EVENT;
  • A CLIENT'S INFORMATION OR INSTRUCTIONS;
  • A PLATFORM, ALGORITHM, OR POLICY CHANGE;
  • A PROVIDER'S ACTS OR OMISSIONS; OR
  • ANY OTHER MATTER RELATING TO THESE TERMS.

THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANOTHER THEORY, EVEN IF ASN WAS ADVISED THAT DAMAGES WERE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, ASN'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO A CONSUMER'S USE OF THE PUBLIC SITES OR SERVICES WILL NOT EXCEED THE GREATER OF:

  1. FIFTY U.S. DOLLARS ($50); OR
  2. THE AMOUNT THE CONSUMER PAID ASN, IF ANY, FOR THE SPECIFIC PUBLIC SERVICE GIVING RISE TO THE CLAIM.

For a paying ASN business client, liability will be governed by the applicable client agreement. If no applicable written agreement addresses liability, ASN's aggregate liability will not exceed the amount the client paid ASN for the specific Service giving rise to the claim during the three months immediately preceding the event giving rise to liability.

The limitations in this section do not apply where prohibited by law.

31. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless ASN and its owners, officers, employees, affiliates, contractors, licensors, vendors, and representatives from claims, losses, liabilities, judgments, damages, expenses, and reasonable attorneys' fees arising from or relating to:

  • Your use or misuse of the Sites or Services;
  • Your violation of these Terms;
  • Your violation of applicable law;
  • Your infringement of another person's rights;
  • A Submission you provide;
  • Information or content you instruct ASN to publish;
  • False, misleading, or unsupported claims you provide;
  • Your products or services;
  • Your interactions with another user;
  • Your unauthorized use of personal information;
  • Your breach of a separate agreement with a third party; or
  • Your negligent, fraudulent, or willful conduct.

ASN reserves the right to control the defense of a matter subject to indemnification. You agree to reasonably cooperate with the defense.

This section may be supplemented or replaced by indemnification terms in an applicable written client or vendor agreement.

32. Suspension and Termination

ASN may suspend, restrict, or terminate your access to some or all Sites or Services when ASN reasonably believes:

  • You violated these Terms;
  • Your use creates a security risk;
  • Your use may expose ASN or another person to liability;
  • Your account has been compromised;
  • You failed to pay amounts due under an applicable agreement;
  • Your conduct disrupts the Sites or Services;
  • Suspension is required by law; or
  • Continued access is not commercially reasonable.

ASN may also discontinue a public Site, feature, directory, program, or Service at any time.

Upon termination, your right to use the affected Service ends immediately.

Sections that by their nature should survive termination will remain effective, including intellectual property, disclaimers, liability limitations, indemnification, and dispute-resolution provisions.

33. Changes to the Sites or Services

ASN may modify, update, suspend, replace, restrict, or discontinue any Site, Service, feature, content item, directory, publication, program, or functionality.

ASN does not guarantee that any particular feature will remain available.

Where a separate paid agreement requires notice, service levels, deliverables, or transition assistance, that agreement will control.

34. Changes to These Terms

ASN may update these Terms periodically.

When changes are made, ASN will revise the "Last Updated" date. ASN may provide additional notice when a change is material or when required by law.

Your continued use of the Sites or Services after updated Terms become effective constitutes acceptance of the updated Terms.

Changes will not retroactively alter the resolution of a dispute that arose before the updated Terms became effective unless permitted by law and agreed by the parties.

35. Informal Dispute Resolution

Before initiating arbitration or litigation, you and ASN agree to attempt in good faith to resolve the dispute informally.

The party raising the dispute must provide written notice describing:

  • The party's name and contact information;
  • The facts giving rise to the dispute;
  • The legal or contractual basis of the dispute;
  • The specific relief requested; and
  • Information reasonably necessary to evaluate the claim.

The parties will have at least 30 days after receipt of a complete notice to attempt to resolve the dispute.

The applicable limitations period will be tolled during this 30-day informal-resolution period where permitted by law.

36. Binding Arbitration

Except for the exceptions listed below, any dispute, claim, or controversy arising from or relating to:

  • These Terms;
  • The Privacy Policy;
  • The Sites;
  • The Services;
  • Communications with ASN;
  • A form submission;
  • ASN content;
  • A transaction with ASN; or
  • The relationship between you and ASN

will be resolved through individual binding arbitration.

The arbitration will be administered by [ARBITRATION PROVIDER TO BE CONFIRMED WITH COUNSEL] under its applicable consumer or commercial arbitration rules, as appropriate.

The Federal Arbitration Act will govern the interpretation and enforcement of this arbitration agreement.

The arbitrator may award any remedy available in an individual court action, subject to the limitations in these Terms and applicable law.

The arbitrator will have authority to decide issues concerning the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court will decide disputes concerning the enforceability of the class-action waiver.

Judgment on an arbitration award may be entered in a court with jurisdiction.

Exceptions

Either party may bring:

  • An individual claim in small claims court, if the claim qualifies;
  • A claim seeking emergency injunctive relief to prevent imminent misuse of intellectual property, confidential information, or computer systems;
  • A claim concerning infringement or misuse of intellectual property; or
  • A matter that applicable law prohibits from being arbitrated.

37. Class-Action and Jury-Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND ASN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY.

YOU AND ASN WAIVE THE RIGHT TO:

  • PARTICIPATE IN A CLASS ACTION;
  • SERVE AS A CLASS REPRESENTATIVE;
  • PARTICIPATE IN A REPRESENTATIVE ACTION;
  • PARTICIPATE IN A PRIVATE ATTORNEY GENERAL ACTION;
  • PARTICIPATE IN CLASS-WIDE ARBITRATION;
  • CONSOLIDATE UNRELATED CLAIMS WITHOUT CONSENT; OR
  • HAVE A DISPUTE DECIDED BY A JURY.

If the class-action waiver is found unenforceable as to a particular claim or request for relief, that claim or request will proceed in court after all arbitrable claims are resolved.

38. Arbitration Opt-Out

You may opt out of the arbitration agreement by providing written notice to ASN within 30 days after you first accept these Terms.

Your notice must include:

  • Your full name;
  • Your mailing address;
  • Your email address;
  • A clear statement that you are opting out of the arbitration agreement in ASN's Terms of Use; and
  • Your signature.

Opting out of arbitration will not affect the remaining provisions of these Terms.

39. Governing Law and Venue

Except to the extent governed by the Federal Arbitration Act or preempted by federal law, these Terms will be governed by the laws of the State of Missouri, without regard to conflict-of-law principles.

Any dispute that is not subject to arbitration or eligible for small claims court must be brought exclusively in the state or federal courts located in St. Charles County, Missouri.

You and ASN consent to the personal jurisdiction and venue of those courts.

Consumer-protection rights that cannot lawfully be waived remain unaffected.

40. Time Limit for Claims

To the fullest extent permitted by law, any claim arising from or relating to the public Sites or Services must be filed within one year after the claim arose.

A claim not filed within that period is permanently barred.

This limitation does not apply where applicable law prohibits shortening the limitations period or where a separate written agreement provides a different period.

41. Electronic Communications

You agree that communications provided electronically satisfy legal requirements that communications be in writing.

ASN may provide notices by:

  • Posting them on a Site;
  • Sending an email;
  • Sending a text message;
  • Providing an account notification; or
  • Using another contact method you provided.

You are responsible for maintaining current contact information.

42. Assignment

You may not assign or transfer your rights or obligations under these Terms without ASN's prior written consent.

ASN may assign these Terms in connection with:

  • A merger;
  • Acquisition;
  • Reorganization;
  • Sale of assets;
  • Corporate restructuring; or
  • Transfer of a Site, Service, or business line.

Any unauthorized assignment by you is void.

43. Force Majeure

ASN will not be liable for delay, interruption, or failure caused by circumstances beyond its reasonable control, including:

  • Natural disasters;
  • Severe weather;
  • Fire;
  • Flood;
  • Epidemic or pandemic;
  • War;
  • Terrorism;
  • Civil unrest;
  • Labor disputes;
  • Government actions;
  • Utility failures;
  • Internet outages;
  • Hosting failures;
  • Cyberattacks;
  • Platform outages;
  • Telecommunications failures;
  • Third-party vendor failures;
  • Search-engine changes; or
  • Failures of advertising, social media, email, or software platforms.

44. Severability

If a provision of these Terms is found unlawful, invalid, or unenforceable, it will be enforced to the maximum extent permitted.

The remaining provisions will remain in effect unless the invalid provision is essential to the agreement and applicable law requires otherwise.

45. No Waiver

ASN's failure to enforce a provision does not waive its right to enforce that provision later.

A waiver must be in writing and authorized by ASN.

46. No Agency or Partnership

These Terms do not create:

  • A partnership;
  • Joint venture;
  • Employment relationship;
  • Franchise;
  • Fiduciary relationship;
  • Healthcare relationship;
  • Broker relationship; or
  • Agency relationship

between you and ASN.

You may not represent that you are authorized to bind ASN.

47. Headings

Section headings are provided for convenience and do not affect the interpretation of these Terms.

48. Entire Agreement

These Terms, the Privacy Policy, and any applicable Additional Terms constitute the entire agreement concerning your use of the public Sites and Services.

For paying clients, vendors, sponsors, contractors, podcast guests, and other parties with a separate written agreement, that agreement remains in effect and controls the matters it addresses.
